1. Scope and agreement
This draft covers business services by Baja Verde S.L.U., NIF B22611404. It becomes part of an engagement only once the final version has been supplied and explicitly accepted. A free scan, enquiry or appointment request does not order a paid service. The quotation defines scope, deliverables, price, schedule, payment milestones and recurring services. Written project-specific terms prevail, subject to mandatory law.
2. Scope and cooperation
We deliver the agreed website, features, integrations, AI application or optimisation. Clients provide accurate content, permissions, access and feedback on time. Out-of-scope changes require prior written agreement on cost and impact. Client and supplier dependencies may affect schedules; consequences will be discussed.
3. Pricing and payment
Business quotations identify tax, external costs, usage charges and recurring fees separately. Payment terms are agreed in the quotation and invoice within statutory limits. Applicable Spanish late-payment rules govern business arrears; no charges exceed mandatory limits. Invoice enquiries: finance@bajaverde.com. Scan cost estimates are neither quotations nor proof of the scanned organisation’s spending.
4. Delivery and ongoing services
Delivery is assessed against agreed requirements and tests. Deviations are reviewed and remedied within the agreed service; new requests are not defect corrections. Silence is not automatic acceptance. Hosting, maintenance, backups, security updates, availability, recovery targets, support and renewal are included only when expressly agreed. Duration, cancellation, export and handover must be specified; these terms do not create an implicit subscription.
5. Intellectual property and accounts
Clients retain rights to supplied content. Baja Verde retains pre-existing components; third-party software, fonts and images retain their licence terms. The quotation must specify in writing any rights granted in custom work, permitted uses, territories, duration and commencement. Source code, domain and account handover are expressly agreed.
6. AI, scans and optimisation
AI output and automated scans require human review. Unless separately agreed, no guarantee covers AI accuracy, AI mentions, search positions, turnover or conversion improvements. Platform and developer detection are public indications; cost estimates are not verified contract data. Clients supply only authorised data and materials. Scanning does not authorise bypassing security. Production use of client data in AI or other processing services is agreed in advance.
7. Confidentiality and personal data
Parties keep non-public project information confidential and restrict access to those who need it. When Baja Verde processes personal data on the client’s behalf, a processing agreement must precede that processing and cover instructions, security, subprocessors, incidents and return or deletion. The privacy notice does not replace that agreement.
8. Liability, termination and law
Liability follows applicable law; nothing excludes liability that cannot lawfully be excluded. Where appropriate, a reasonable opportunity to remedy breach is provided. On termination, completed work, pre-approved unavoidable costs and handover are settled under the agreement and applicable law.
Spanish law applies where validly agreed. Disputes are first discussed via hola@bajaverde.com, then brought before the court competent under applicable law. Mandatory consumer rights, including applicable information and withdrawal rights, are preserved; consumer engagements require additional advance terms.
